By-Law

 

Preamble:

The purpose of the Rutgers University, School of Business-Camden Ecommerce Society will be to promote an understanding and awareness of MIS and Ecommerce. The Ecommerce Society wants to integrate outside ecommerce ideas with the concepts learned in class to further their knowledge in the field of Ecommerce.

 

Article I
Name

The name of the organization will be Rutgers University, School of Business-Camden Ecommerce Society.

 

Article II
Membership

Section 1

Membership shall be open to all Rutgers University Students and must comply with federal laws prohibiting discrimination on the basis of race, sex, disability, age, sexual orientation, or political and religious affiliation. Compliance with these laws means that membership, benefits, and the election of officers will not be made on the basis of these factors.

Section 2

This organization shall abide by all applicable laws of the state of New Jersey and the United States.

Section 3

The organization shall abide by all applicable rules and regulations of the University and under the privileges as granted by Office of Campus Involvement and the Associate Provost. This organization shall also abide by the rules and regulation of the Board of Governors, University and the college as provided by the Board of Governors, Associate Provost and Deans of the Colleges.

Section 4

Members will have the responsibility of obeying and abiding by the Constitution of the Ecommerce Society. Members will have the responsibility of attending general meetings and participating in furthering the activities of the Ecommerce Society. All student members will be qualified to vote.

Section 5

The Ecommerce Society will also provide membership to alumni of Rutgers University. Alumni members will have the same duties and responsibilities as the general membership, except they will not be qualified to vote or hold any office in the organization.

Article III
Officers

Section 1

The officers are elected to carry out the purposes of the Ecommerce Society. Each officer must know the parliamentary procedure, the constitution of the organization and the duties of the particular officer. The officers of this organization shall consist of president, vice president, treasurer, and secretary and shall be elected to carry out the purposes of the organization.

 

President

The president presides at all general meetings and executive committee meetings of the Ecommerce Society, unless emergencies or illness prohibit his/her attendance. It is the responsibility of the president to conduct the meetings impartially and to protect each member’s rights.

 

Vice President

The vice president performs the duties of the president in the absence of the president and also has the responsibility of: reserving rooms and ordering refreshments for meetings and events; recruiting new members; maintaining the current membership list with current mailing address, email address, telephone information, major, and date of graduation.

 

Secretary

The main duty of secretary is to keep the records or “minutes” of the meetings of the organization. The secretary’s minutes are the official record of the organization and should contain only the actual business transacted. In addition, the secretary must issue notices of meetings and take care of the correspondence of the Ecommerce Society. It is the responsibility of the secretary to have the official copies of the by-laws, constitution, and official files. The secretary should also provide the president with a list of postponed motions and unfinished business in advance of each meeting so that it can be included on the agenda.

 

Treasurer

The treasurer is the custodian of the organizations’ funds and receives and disperses them when authorized to do so. The treasurer should be authorized to pay the bills of the organization. The treasurer should also draft monthly and annual statements. The annual statement should be audited. During the meetings, the treasurer reports to the membership on the state of the organization’s finances; therefore the treasurer should be familiar with all Rutgers Student Fund procedures and is responsible for keeping accurate records of all financial transactions.

 

GAO (General Assembly Officer) Representative

The GAO Representative serves as a liaison between the organization and the Student Governing Association (SGA), updating the SGA on the happenings of the organization and is expected to attend all GAO meetings called by the GAO Chairperson who sits on the SGA. Other responsibilities include:

  1. Shall serve as a representative to the General Assembly of Organizations Committee.
  2. Shall act as the liaison between student organizations and the SGA.
  3. Shall enforce the observance of the Constitution.
  4. Shall have other responsibilities, powers and duties as may be assigned to their position by this constitution, the Office of Campus Involvement and any policies of the school.

PR/Marketing Director

The Public Relations/Marketing Director is responsible for publicizing upcoming meetings and events and creates and distributes attractive and eye-catching advertisements that accurately reflect the time, date, and location of all meetings and events. The PR/Marketing Director is also responsible for maintaining any and all bulletin boards and other areas of advertising, including the posting of said advertisements at least one week prior to every meeting, event or activity of the Ecommerce Society, as well as the maintenance and replacement of said advertisements prior to the actual meeting, event or activity, and the removal of said advertisements within 48 hours after each meeting, event or activity.

Section 2
Terms of Office

The term of office for all officers will be one year from the beginning of the semester following the elections.

Section 3
Elections

Nominations for officers will be held two (2) weeks prior to the elections. Elections will be held during a general membership meeting and will be conducted by paper ballots, which will be prepared by the secretary and distributed at the general membership meeting at which the elections will be held. The faculty advisor or the faculty advisor’s designee will count the ballots. Candidates for office may not be responsible for counting the ballots. All officers must have a minimum 2.0 GPA upon election and throughout the academic year.

Section 4
Removal of Officers

Any member of the executive committee may be removed from office by a 2/3 vote of the general voting membership for any of the following reasons:

  1. Neglect of duties as set forth in the constitution of the Ecommerce Society.
  2. Disregard for the constitution.
  3. Excessive absence that hampers the function of the Ecommerce Society.

Section 5
Special Elections

Special elections may be held at the first regularly scheduled meeting of each semester to fill vacancies created by graduation or withdrawal. Announcements of and nominations for vacancies will be made at least two weeks prior to the first meeting. The procedure for special elections will be the same as for regularly scheduled elections.

 

Article IV
Elective Committee

The elected officers of the organization form the executive committee. The executive committee will have the power to propose amendments to the constitution, propose a tentative schedule of events, and authorize expenditures, which must be finalized by approval of the student activities office. The executive committee will also have the power to appoint committees within the Ecommerce Society as they become necessary.

 

Article V
Meetings

Section 1                    
General Meetings

There will be a meeting of the general membership of the Ecommerce society at least twice a semester.

Section 2                    
Executive Committee

There will be at least 1 meeting per month of the executive committee during the fall and spring semesters. The dates and time of these meetings will be at the discretion of the president, in consultation with the other members of the executive committee.

Section 3
Emergency Meetings

Emergency meetings may be called at the discretion of the executive committee, or by written request of the majority of the general membership.

The president shall appoint special committees as necessary.

 

Article VII
Financial

All funds of the organization, regardless of their source, shall be maintained in an account in the Rutgers Student Fund.

 

Section 1                    
Source of Fund

Funding for the Ecommerce Society should be provided by the Student Governing Association (SGA) upon submission and approval of a budget in accordance with procedures established by the SGA.

 

Section 2
Additional Fund

The Ecommerce Society may generate additional funds through the institution of membership dues by the executive committee. Dues may not be so excessive as to discriminate against potential members.

 

Article VIII
Quorum

A quorum for holding meetings and voting in the Ecommerce Society will be 50% of the general membership and at least 50% of the executive committee.

 

Article IX
Parliamentary Authority

Roberts Rules of Order, Newly Revised Edition, shall be the authority on all questions of parliamentary law and proceedings.

 

Article X
Order of Business

The following order of business will be followed for general membership meeting of the Ecommerce Society whenever possible:

    2. Roll Call
    3. Secretary reads minutes of last meeting

Article XI
Advisors

The advisor for the Ecommerce Society will be a member of the Management Science and Information Systems faculty for Rutgers University, School of Business-Camden.

 

Article XII
Amendments

Section 1                    
Approval of Constitution

This constitution and all amendments approved by the membership must also be approved by the SGA and the student activities office.

Section 2                     
Addition of Amendments

Amendments to this constitution may be proposed by the entire executive committee and by ¾ (three quarters) vote of the general voting membership.

 

Article XIII
By-Law

The Ecommerce Society intends to adhere to any University alcohol policies.
